Item 4.01 Changes in the holder’s certifying accountant.
At December 2, 2021, Harte Hanks, Inc. (the “Company”) has been advised that the practice of auditing Moody, Famiglietti and Andronico, LLP (“MFA”), an independent registered public accounting firm, has been combined with Baker Tilly United States, LLP (âBaker Tillyâ) in connection with a transaction whereby MFA has combined its business with Baker Tilly and certain members of MFA professional staff and partners have joined Baker Tilly as employees or partners of Baker Tilly. At December 2, 2021, MFA resigned as the Company’s auditor and with the approval of the Audit Committee of the Company’s Board of Directors, Baker Tilly was engaged as a registered independent accounting firm.
Prior to engaging Baker Tilly, the Company did not consult Baker Tilly regarding the application of accounting principles to any specific transaction carried out or contemplated or regarding the type of audit opinions that could be issued by Baker Tilly on the statements. financial statements of the Company, and Baker Tilly has not provided any written or oral advice which was a material factor considered by the Company in making a decision regarding any such accounting, auditing or financial reporting matter.
The report of the MFA’s registered independent public accounting firm regarding the financial statements of the Company for the years ended December 31, 2020 and 2019 did not contain an adverse opinion or disclaimer of opinion and has not been qualified or amended with respect to the uncertainty, scope of the audit or accounting principles.
In the past years December 31, 2020 and 2019, and during the interim period from the end of the last closed financial year until December 2, 2021, the date of resignation, there has been no disagreement with the MFA on any matter concerning accounting principles or practices, financial statement disclosure or the scope or procedures of the audit, which disagreements, s ‘they had not been resolved to the satisfaction of the MFA, would have caused them to refer to these disagreements in their reports.
The Company provided MFA with a copy of this current report on Form 8-K prior to its filing with the Security and Trade Commission and requested that MFA provide the Company with a letter addressed to Security and Trade Commission indicating whether he agrees with the above statements and, if he does not agree, the points on which he does not agree.
